1. Acceptance of Terms

Welcome to Indigo e-Sign ("Service", "Platform", "we", "us", or "our"). By accessing or using our electronic signature platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Indigo e-Sign concerning your access to and use of the Service.

2. Service Description

Indigo e-Sign provides an electronic signature platform that enables users to:

  • Upload and manage PDF documents
  • Create and place signature fields on documents
  • Invite multiple participants to sign documents
  • Track signature status and document workflow
  • Store signed documents securely
  • Integrate with cloud storage services (Google Drive, Dropbox, Microsoft OneDrive)
  • Receive notifications about signature requests and completions
  • Use AI-powered document reviews to analyze your documents
3. User Accounts and Registration

3.1 Account Creation
To use our Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Email Verification
You must verify your email address through our OTP (One-Time Password) verification system. Unverified accounts may have limited access to certain features.

3.3 Account Responsibilities

  • You must be at least 18 years old to create an account
  • You must provide accurate and truthful information
  • You are responsible for all activities under your account
  • You must notify us immediately of any unauthorized access
  • You may not share your account credentials with others
  • You may not create multiple accounts to circumvent restrictions
4. Subscription Tiers and Usage Limits

Free Tier:

  • Limited to 5 documents per month
  • Maximum 1 external participant per document (+ yourself as the initiator)
  • 100 MB storage capacity
  • Basic e-signatures
  • Email notifications
  • 1 AI document review per month

Basic Plan ($19/month or $45/quarter):

  • Up to 50 documents per month
  • Up to 3 external participants per document (+ yourself)
  • 500 MB storage capacity
  • Push notifications
  • Document expiration settings
  • 5 AI document reviews per month
  • 1 API template, 1 API key, and 1 API request per month

Pro Plan ($49/month or $117/quarter):

  • Unlimited documents
  • Up to 5 external participants per document (+ yourself)
  • 1 GB storage capacity
  • Advanced signature types (stamp, textbox, etc.)
  • Cloud storage integration (Google Drive, Dropbox, OneDrive)
  • Secured document sharing
  • Audit trail
  • 100 AI document reviews per month
  • 50 API templates, 10 API keys, and 1000 API requests per month

Payment Terms:

  • Subscriptions are billed monthly or quarterly through Authorize.Net
  • Refunds are not automatic — you may submit a refund request which will be reviewed by the Indigo e-Sign team. Refund amounts are adjusted based on your actual usage during the billing period.
  • You authorize us to charge your payment method for subscription fees
  • Failure to pay may result in service suspension or downgrade to the Free plan
5. Acceptable Use Policy

You agree NOT to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights of others
  • Upload malicious code, viruses, or harmful software
  • Harass, abuse, or harm other users
  • Impersonate any person or entity
  • Collect or harvest user information without consent
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any systems
  • Use the Service for fraudulent or illegal signature collection
  • Upload documents containing illegal content
  • Bypass any security features or usage limitations
  • Resell or redistribute the Service without authorization
6. Document Upload and Content

Your Content: You retain all ownership rights to documents you upload. By uploading content, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service.

Content Restrictions: You may not upload documents that contain illegal, harmful, or offensive content; violate intellectual property rights; contain malware or malicious code; violate privacy rights of others; or are used to commit fraud or deception.

Content Monitoring: While we do not actively monitor uploaded content, we reserve the right to review, remove, or refuse any content that violates these Terms or applicable laws.

7. AI Document Review Disclaimer

⚠️ Very Important: Please read this section carefully before using our AI-powered features.

Our AI-powered document review feature provides automated analysis, suggestions, summaries, or recommendations. Please be aware of the following:

  • AI outputs are provided for informational purposes only and do not constitute legal advice, legal representation, or professional services.
  • You are solely responsible for reviewing and validating AI-generated output before relying on it.
  • We strongly recommend consultation with a qualified attorney prior to executing legally binding documents.
  • We make no warranties regarding the accuracy, completeness, reliability, or suitability of AI-generated results.
  • AI-generated suggestions should be treated as preliminary guidance and not as a substitute for professional legal review.
  • Use of the AI document review feature is subject to your subscription tier limits and usage quotas.

By using the AI document review feature, you acknowledge and accept these limitations and agree that Indigo e-Sign shall not be held liable for any decisions made based on AI-generated output.

8. Electronic Signatures

8.1 Legal Validity: Electronic signatures created through our Service are intended to be legally binding under the ESIGN Act, UETA, and similar laws in applicable jurisdictions. However, we do not provide legal advice, and you are responsible for ensuring that electronic signatures are appropriate for your specific use case.

8.2 Signature Authentication: Participants access signature sessions through unique, time-limited tokens. You are responsible for ensuring that signature requests are sent only to authorized individuals.

8.3 Audit Trail: We maintain comprehensive audit trails of signature activities, including timestamps, IP addresses, and participant actions. These records are available for your review and may be used for legal compliance purposes.

9. Data Security and Privacy

9.1 Security Measures: We implement commercially reasonable administrative, technical, and physical safeguards designed to protect your data, including:

  • Encryption of data in transit and at rest
  • Secure token-based authentication
  • Role-based access controls and monitoring
  • Regular security audits and updates
  • Encrypted cloud storage integration

While we take data security seriously and follow industry-standard practices, no method of electronic transmission or storage is completely secure. Accordingly, we cannot guarantee absolute security of your data. You acknowledge and accept that you use the Service at your own risk.

9.2 Privacy Policy: Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

9.3 Data Retention: Document retention periods vary by subscription tier. After the retention period, documents may be permanently deleted. You are responsible for maintaining your own backups of important documents.

10. Cloud Storage Integration

Our Service integrates with third-party cloud storage providers (Google Drive, Dropbox, Microsoft OneDrive). When you connect these services:

  • You grant us limited access to your cloud storage as needed to provide the Service
  • You remain subject to the terms and policies of those third-party providers
  • We are not responsible for the actions or policies of third-party providers
  • You can revoke access at any time through your account settings
11. Intellectual Property

Our Rights: The Service, including all software, designs, text, graphics, logos, and other content (excluding your uploaded documents), is owned by Indigo e-Sign and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

Trademarks: "Indigo e-Sign" and associated logos are trademarks of our company. You may not use these trademarks without our prior written consent.

Feedback: If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation or compensation to you.

12. Disclaimers and Limitations of Liability

12.1 Service "As Is": THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12.2 No Guarantee of Availability: We do not guarantee that the Service will be uninterrupted, error-free, or completely secure. We may suspend or terminate the Service for maintenance, updates, or other reasons with or without notice.

12.3 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, INDIGO E-SIGN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICE.

12.4 Maximum Liability: Our total liability for any claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless Indigo e-Sign, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from: your use of the Service; your violation of these Terms; your violation of any rights of another party; your uploaded content and documents.

14. Termination

Termination by You: You may terminate your account at any time through support section. Upon termination, you will lose access to your documents and data according to our retention policy.

Termination by Us: We may suspend or terminate your account immediately, without notice, if you violate these Terms; fail to pay subscription fees; use your account for fraudulent or illegal activities; we are required to do so by law; or we decide to discontinue the Service.

Effect of Termination: Upon termination, your right to use the Service ceases immediately. We may delete your data after the retention period. Provisions that by their nature should survive termination will remain in effect.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website, sending an email to your registered email address, or displaying a notice when you log in to the Service. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.

16. Dispute Resolution

Informal Resolution: Before filing a formal claim, you agree to contact us at support@indigoesign.com to attempt to resolve the dispute informally.

Arbitration: Any disputes arising from these Terms or the Service shall be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if they qualify.

Class Action Waiver: You agree that any disputes will be resolved on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Indigo e-Sign operates, without regard to its conflict of law provisions.

18. Miscellaneous

18.1 Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Indigo e-Sign regarding the Service.

18.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18.3 No Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

18.4 Assignment
You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

18.5 Force Majeure
We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, or acts of civil or military authorities.
